Terms and Conditions - Referral Directory

1. This service agreement of business govern the agreement between FindmyTrainer (owned and operated by Supply Me Ltd) (the Business) and (the Training Provider).  This agreement shall be agreed before a service is delivered and shall incorporate the provisions of the referral fee, and proposal of work to be carried out by the Training Provider.  The Agreement shall supersede all other representations, communications and undertakings unless expressly incorporated therein.  The Service(s) are those services contained in the agreement, and any varied or additional services provided by the Training Provider to their Client.

2. The Business shall supply information required to the Training Provider at such times as is reasonably required for the performance of the service(s). 

3. The Training Provider shall perform the service(s) with reasonable skill, care and diligence.

The Business’s limitation of liability

4. The Business shall not accept any liability to the Training Provider or their Client for any injury, loss or damage to persons or property arising in connection with the Service(s) referred. The Training Provider shall take out and maintain Public Liability insurance, Employers Liability insurance and Professional Indemnity insurance to the sum of no less than £1,000,000.

5. No individual employee of the Business shall have any liability in negligence (save in respect of loss of property, personal injury, damage to property or death) to the Training Provider or their Client for any matters arising in connection with the service(s) provided.

Variations and additional service(s)

6. Any proposed referral is based upon information supplied by the Client. The Client shall notify the Training Provider of any instruction to vary the services to be provided or undertake additional services.

Payment of service(s)

7. The Client shall pay to the Training Provider the fees and charges for the service(s) specified in the proposed agreement of the referral and those in respect of additional or varied services as they are earned.

8. The Training Provider shall pay a referral fee of 10% of monies earned from the referral given, and this shall be paid within 14 days of the date of invoice.  In accordance with the Late Payment of Commercial Debts Act 1998, overdue payments after 14 days from the date of invoice will be charged additional interest at the rate of 8% above the Bank of England base rate, which is current at the time of invoicing.  A debt recovery fee of £50 will also be applied to outstanding amounts to cover administration charges.

Non / Late Payment of invoice(s)

9. Following non/late payment of any invoice, the business will cancel any future referral, will remove the directory listing of the Training Provider and reserves the right to refuse any future agreements.

Cancellation of service(s)

10. If any referral is cancelled by the Training Provider or their Client, this must be reported to FindMyTrainer as the following fee will apply:

Cancelled with more than 7 days notice = no charge

Cancelled with less than 7 days notice = 100% charge

Complaints and Disputes

11.  In the event that the Training Provider has a complaint in respect of any service(s) provided then, without prejudice to any other remedy, he/she will provide any dispute in writing to the Business.  

12.  The Business shall accept no responsibility for the quality of service(s) given by the Training Provider, and any complaint or dispute from the Client must be address to the Training Provider they employed.

Copyright

13. The copyright in all documents prepared by the Business shall remain the property of the Business. The Business shall not be liable for any use of the documents for any purpose other than that for which they were prepared and provided.
